Liechtenstein, Singapore, or any other jurisdiction?

We know, choosing the right jurisdiction for your idea or venture can be hard. But it does not have to be. Please note that Equanimity AG is incorporated in Liechtenstein since 2008 and is the sole financing partner for investhub.io, so we tried to be as objective as possible.

So first you should start, do you wish to use Liechtenstein as a gateway for Europe only to e.g issue your bond prospectus or should it be your long-term base for your tokenized equity?

Example for bond issuances:
Let's say, you are an Italian company and wish to issue a tokenized bond together with Investhub.io you can simply choose Liechtenstein as passporting jurisdiction to passport your EEA Growth Prospectus to the EU.

Example for equity issuances as Liechtenstein company:
Please note, to issue equity as a Liechtenstein company you need to go through the token issuer role with the FMA Liechtenstein based on the TVTG (Blockchain law). This might require some time for you to prepare together with us. But if you think Liechtenstein is your long-term destination and jurisdiction for several offerings then this is the minimum you can and should do as Entrepreneur as it also gives the maximum legal certainty for your investors.

Example for equity issuance as EU company:
Usually, you have to choose your local financial market authority to issue your tokenized equity (shares) if you are for example an Estonian company or if you still want to choose Liechtenstein for your offering but you don't want to incorporate there, you can simply choose any TVTG registered Token issuer to issue your financial instrument for you through Liechtenstein and alongside this passport it to the remaining European Union member states.

Example for equity issuance as non Liechtenstein and non EU company:
This could be, if you are either a corporation in Singapore, Cayman, UK or another country then you can still choose Liechtenstein as your passporting jurisdiction for your tokenized Equity. We would be glad to help you draf the prospectus if you need to do so.

A recent update in regulation, please note that if you are issuing your token which is under the total of 5m Euro, you don't have to file for a prospectus, that being said, if you are also a company in Liechtenstein and you plan to issue under 5m Euro per year you also don't have to be registered as token issuer, so as a recommendation from Entrepreneur to Entrepreneur choose Liechtenstein as jurisdiction raise up to 5m Euro for your tokenized equity/bond and see where you go from there. Else if you plan to raise over 5m Euro you should definitely draft a prospectus either together with us or with your legal advisor.
